ARIST MEMBERSHIP CONTRACT

This Agreement is entered into between the following parties:

a) Mr./Mrs. ________________________ (hereinafter referred to as the "ARTIST")

b) LUNA SANAT KAFE RESTORAN TİCARET VE TURİZM LİMİTED ŞİRKETİ (hereinafter referred to as "LGA"), a company registered under the laws of Türkiye, having its registered office at Rasimpaşa Mahallesi, Bayramyeri Sokak No: 15/1 Kadıköy, Istanbul, 34716.


WHEREAS:

  1. LGA operates a digital platform (hereinafter referred to as "the Platform") for the sale of artworks and the promotion of artists;

  2. The Artist desires to participate in the Artist Membership Program of the Platform to showcase and sell their artworks.


NOW, THEREFORE, the parties agree as follows:
 

1. Membership Program
1.1. The Artist agrees to join LGA's Artist Membership Program, which offers an annual membership for creating a personalized portfolio page and the opportunity to sell artworks via the Platform.
1.2. The Artist’s works will be promoted and sold with no commission fees, offering an international reach with shipping available worldwide.
1.3. Upon joining, the Artist will receive a unique profile page on the Platform, where they can upload and manage their artworks as they desire.
 

2. Membership Levels
The Artist may choose from the following membership plans, each providing varying levels of exposure and service:

  • Bronze Membership: Ideal for emerging artists. This membership allows the display of up to 3 artworks on the digital store and artist profile page.

  • Silver Membership: Suitable for more established artists. This membership allows the display of up to 6 artworks on the digital store and artist profile page, and your works will be featured on the Platform’s “Featured Artists” section.

  • Gold Membership : For artists seeking increased exposure. This membership allows the display of up to 9 artworks on the digital store and artist profile page, with additional promotion in the “Featured Artists” section and high-engagement Instagram promotions to increase connections with art lovers and collectors.

  • Platinum Membership: Perfect for artists aiming to reach the peak of the art world. This membership allows the display of up to 12 artworks on the digital store and artist profile page, with additional features in the “Featured Artists” section, online curatorial selections, and high-budget Instagram promotions.

3. Duration and Renewal
3.1. Membership is valid for one year. The Artist may choose to renew their membership at the end of the term.
3.2. LGA will contact the Artist to finalize their profile setup upon reservation, and the Artist’s portfolio page will be created.
 

4. Sales and Promotions
4.1. The Artist agrees that their artworks will be displayed on the Platform, allowing both national and international sales.
4.2. LGA will professionally manage the sales process, including handling the shipping of artworks to buyers globally.
4.3. The Artist’s profile page will be designed to promote their career and increase exposure in the international art market.
 

5. Rights and Responsibilities
5.1. The Artist retains full ownership and intellectual property rights of their artworks displayed on the Platform.
5.2. The Artist is responsible for providing accurate information and uploading artworks to their profile page.
5.3. LGA reserves the right to remove any content that does not comply with the Platform's guidelines.
 

6. Limitation of Liability
6.1. LGA will not be liable for any damages or loss incurred as a result of the sales or promotions of the Artist’s works.
6.2. LGA is not responsible for any dispute between the Artist and buyers.
 

7. Copyright

7.1 LGAacknowledges and respects the intellectual property rights of participating artists and their original artworks. In accordance with this commitment, LGA will not reproduce or sell printed copies of original artworks by any artist without the explicit written permission of the artist.

7.2 LGA may only produce and sell printed copies of original artworks with the explicit written permission of the artist. Under no circumstances will LGA reproduce or sell printed copies of the artist's original artwork without their explicit written permission. Unauthorized reproduction or sale of printed copies will be considered a breach of this agreement and may result in legal action against LGA.

7.3 The ARTIST has the right to impose restrictions or conditions on the reproduction and sale of their artworks, and such conditions will be strictly enforced by LGA. This clause aims to protect the artists' copyright and intellectual property rights, allowing LGA to produce and sell printed copies only with explicit permission from the artist.
 

8. General Provisions
8.1. This Agreement constitutes the entire agreement between the parties. Any amendments or additions must be made in writing.
8.2. This Agreement shall be governed by and construed in accordance with the laws of Türkiye.

9. Governing Law:
9.1This Agreement shall be governed by and construed in accordance with the laws of Türkiye. Any disputes arising out of or in connection with this Agreement shall be settled through arbitration in accordance with the rules of Courts and Enforcement Offices in Istanbul, Türkiye.
9.2 This contract is drawn up as an original copy and enters into force upon being signed on the above-mentioned date.
